1. Acceptance and eligibility

By using ProgKit, you agree to these Terms, the Privacy Policy, the Refund Policy, and any additional terms displayed inside the service or attached to a specific feature. If you do not agree, you must not use the service.

You must be legally able to use the services and enter into obligations. You are responsible for accurate registration information, maintaining login confidentiality, and all activity that occurs under your account or employee accounts.

2. Service description and changes

ProgKit provides a business management platform that may include a dashboard, administrative systems, e-commerce stores, websites, AI agents, and related tools. We may add, modify, suspend, limit, or discontinue any feature or part of the service at any time for operational, security, commercial, or legal reasons.

Some features may vary by plan, subscription period, account status, integration availability, technical limitations, and fair use rules.

3. Subscriptions, payment, and renewal

Services are provided under recurring, annual, trial, or special plans as displayed on the pricing page or dashboard. You agree to pay all amounts due for the plan, add-ons, customization, integrations, or services you request.

• Some services may be provided through a free trial or testing period. ProgKit may define the duration, scope, and limits of the trial and may stop it in case of misuse.
• Failure to pay amounts due may result in account suspension, reduced permissions, service interruption, or subscription termination.
• Prices or plan features may change later. Changes generally do not affect a currently paid period, but may apply upon renewal or plan change.
• You are responsible for any taxes, transfer charges, payment gateway fees, or similar costs unless expressly stated otherwise.

4. Accounts and permissions

You are responsible for managing users, employees, and permissions within your account. Any action taken by your account, employees, or persons you authorize is considered your responsibility unless a direct technical error by ProgKit is proven.

You must notify us immediately of suspected unauthorized access or lost credentials. We may take temporary protective actions, such as ending sessions or suspending an account while the issue is reviewed.

5. Acceptable and prohibited use

You agree to use the services only for lawful and legitimate purposes. You and your users must not:

• Use the service for fraud, deception, money laundering, prohibited products or services, or violations of consumer or e-commerce laws.
• Upload or process content that violates intellectual property, privacy, reputation, or third-party rights.
• Attempt to hack the service, bypass limits, scrape data without authorization, disrupt performance, or misuse APIs.
• Use the service for spam, phishing, malware, or illegal or abusive content.
• Resell or provide the service to third parties outside your plan limits or without written approval from ProgKit.

ProgKit may suspend or terminate accounts, remove content, or restrict access where there is an actual breach or reasonable suspicion of misuse to protect the platform and its users.

6. Content and customer data

You retain ownership of data and content you enter into your account. You grant ProgKit a limited license to host, process, display, and operate that content as needed to provide the service, support, security, and compliance with these Terms.

You represent that you have the right to use all data, images, text, products, trademarks, files, and databases that you upload or create in the platform. You are solely responsible for claims arising from your content, business activity, or use of the service.

7. AI agents and automated outputs

The service may include AI-based or automated features. These features are intended to assist with organization, analysis, summarization, and operational responses, and do not replace human review or professional advice.

• Outputs may be inaccurate or incomplete and must be reviewed before use or sharing.
• Outputs must not be used for legal, medical, financial, employment, or high-impact decisions without review by a qualified professional.
• You are responsible for the information you submit to AI features and for the results you choose to use.

8. Disclaimers and limitation of liability

The services are provided “as is” and “as available,” without any guarantee that they will be error-free, uninterrupted, vulnerability-free, or suitable for every use case or third-party system. We will use reasonable efforts to maintain service stability and security, but digital services may be affected by factors outside our control.

To the maximum extent permitted by law, ProgKit is not liable for indirect, incidental, consequential, special, profit, data, reputation, or business interruption losses. In all cases, our total liability for any claim will not exceed the amount you paid for the disputed service during the three months before the event, unless applicable law requires otherwise.

9. Indemnity and protection of rights

You agree to indemnify and protect ProgKit from claims, losses, damages, costs, or expenses arising from your content, business activity, breach of these Terms, unlawful use of the service, or violation of third-party rights.

10. Suspension and termination

You may stop using the service or request account closure through available procedures. ProgKit may suspend or terminate access fully or partially for breach of Terms, non-payment, security risk, legal request, or misuse.

Termination does not cancel amounts already due, and does not prevent us from keeping records needed for billing, compliance, fraud prevention, or protection of rights.

11. Governing law and disputes

These Terms are governed by the applicable laws of the country where ProgKit is registered or operates, unless mandatory laws in your country require otherwise. Before starting formal proceedings, both parties agree to attempt to resolve disputes in good faith through official contact channels within a reasonable period.

12. Contact and updates

We may update these Terms when needed. The updated version becomes effective when posted on the website or inside the dashboard. Continued use of the service after an update means you accept the revised Terms.
